The following terminology applies to these Terms and Conditions, Privacy Statement and Disclaimer Notice and any or all Agreements: "Client", "You" and "Your" refers to you, the person accessing this website and accepting the Company's terms and conditions. "The Company", "Ourselves", "We" and "Us", refers to Lifestyle Rezolutions Company. "Party", "Parties", or "Us", refers to both the Client and ourselves, or either the Client or ourselves. All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner, whether by formal meetings of a fixed duration, or any other means, for the express purpose of meeting the Client's needs in respect of provision of the Company's stated services/products, in accordance with and subject to, prevailing Canadian law. Any use of the above terminology or other words in the singular, plural, capitalisation and/or he/she or they, are taken as interchangeable and therefore as referring to same.

Privacy Statement

We are committed to protecting your privacy. Lifestyle Rezolutions Company may collect information from various access points throughout this website when you interact with our server, make a purchase, or enter personal data. Lifestyle Rezolutions Company will not share or rent this personal information with or to anyone else in any way that is different than stated here.

Confidentiality

Clients are requested to retain copies of any literature issued in relation to the provision of our services. Where appropriate, we shall issue Client's with appropriate written information, handouts or copies of records as part of an agreed contract, for the benefit of both parties.

We will not sell, share, or rent your personal information to any third party or use your e-mail address for unsolicited mail. Any emails sent by Lifestyle Rezolutions Company will only be in connection with the provision of agreed services and products.

Disclaimer

Exclusions and Limitations

Your use of this site is at your sole risk. The information on this web site is provided on an "as is" basis. If you download any material from this site, you do so at your own discretion and risk. Lifestyle Rezolutions Company reserves the right to restrict or terminate your access to the site or any feature or part thereof at any time. To the fullest extent permitted by law, this Company:

• excludes all representations and warranties relating to this website and its contents and programs or which is or may be provided by any affiliates or any other third party, including in relation to any inaccuracies or omissions in this website and/or the Company's literature; and
• excludes all liability for damages arising out of or in connection with your use of this website, its content, and the information provided by Lifestyle Rezolutions Company. This includes, without limitation, direct loss, personal loss or injury, loss of business or profits (whether or not the loss of such profits was foreseeable, arose in the normal course of things or you have advised this Company of the possibility of such potential loss), damage caused to your computer, computer software, systems and programs and the data thereon or any other direct or indirect, consequential and incidental damages; and
• is not responsible if information made available on the website is not accurate, complete, or current. Lifestyle Rezolutions Company reserves the right to modify the contents of the site at any time, but has no obligation to update any information on this site. You agree that it is your responsibility to monitor any changes to this site.

Payment

All goods remain the property of the Company until paid for in full. We reserve the right to seek recovery of any monies remaining unpaid sixty days from the date of invoice via collection Agencies and/or through the Small Claims Court in the event that the outstanding balance does not exceed $5000. In such circumstances, you shall be liable for any and all additional administrative and/or court costs.

Return Policy

Due to the nature of Lifestyle Rezolutions Company products, all items are considered final sale. The return policy of Lifestyle Rezolutions Company provides 30 days for you to exchange any faulty electronic product, given that it is in its original packaging.

Order Cancellation

Seller and e-commerce order cancellation must be made prior to receipt of shipping confirmation (sent by email). Our facility processes shipments as soon as possible during standard office hours. Cancellation must be in writing via email to shipping@lrcforme.com or by contacting our customer service line at 604•503•5300 during office hours.

NSF - Non-Sufficient Funds

Any payments received by personal cheque that results in NSF from a financial institution will be charged a flat rate of $50 by Lifestyle Rezolutions Company Inc. for administration and financial institution NSF charges / fees. You are solely responsible for making this payment in full within sixty days of notification by the Company.

Creating Your Account

If you create an account on this website, you agree to provide, maintain and update true, accurate, current and complete information about yourself as prompted by our registration processes. You will not misrepresent your identity, including, for example, by using another person’s username, password or other account information. You also agree to promptly notify us of any unauthorized use of your username, password, other account information, or any other breach of security that you become aware of involving or relating to this website.

Availability

Unless otherwise stated, the services featured on this website are only available within North America, or in relation to postings from North America. All advertising is intended solely for the North American market. Force Majeure

Neither party shall be liable to the other for any failure to perform any obligation under any Agreement which is due to an event beyond the control of such party including but not limited to any Act of God, terrorism, war, Political insurgence, insurrection, riot, civil unrest, act of civil or military authority, uprising, earthquake, flood or any other natural or man made eventuality outside of our control, which causes the termination of an agreement or contract entered into, nor which could have been reasonably foreseen. Any Party affected by such event shall forthwith inform the other Party of the same and shall use all reasonable endeavors to comply with the terms and conditions of any Agreement contained herein.

Waiver

Failure of either Party to insist upon strict performance of any provision of this or any Agreement or the failure of either Party to exercise any right or remedy to which it, he or they are entitled hereunder shall not constitute a waiver thereof and shall not cause a diminution of the obligations under this or any Agreement. No waiver of any of the provisions of this or any Agreement shall be effective unless it is expressly stated to be such and signed by both Parties.

General

The laws of Canada govern these terms and conditions. By accessing this website and using our services/buying our products you consent to these terms and conditions and to the exclusive jurisdiction of the Canadian courts in all disputes arising out of such access. If any of these terms are deemed invalid or unenforceable for any reason (including, but not limited to the exclusions and limitations set out above), then the invalid or unenforceable provision will be severed from these terms and the remaining terms will continue to apply. Failure of the Company to enforce any of the provisions set out in these Terms and Conditions and any Agreement, or failure to exercise any option to terminate, shall not be construed as waiver of such provisions and shall not affect the validity of these Terms and Conditions or of any Agreement or any part thereof, or the right thereafter to enforce each and every provision. These Terms and Conditions shall not be amended, modified, varied or supplemented except in writing and signed by duly authorized representatives of the Company.

Lifestyle Sales Team

The Lifestyle Sales Team program is independent sales representation. The information gathered during registration and after follows our Privacy Statement and Confidentiality agreement. Lifestyle Rezolutions Company shall not be liable for any damages or action taken by the other Party during participation in the Lifestyle Sales Team or after voluntary withdrawal or termination by Lifestyle Rezolutions Company.

As an independent sales representative, you are solely responsible your time and actions while designing, operating and implementing your business. You further undertake:

• (i) to (a) sell Lifestyle Products only within North America; and (b) purchase solely from Lifestyle Rezolutions Company and sell to the end consumer at the Manufacturer’s Suggested Retail Price (MSRP) unless provided direct written consent from the Company; and
• (ii) to act only respectfully and honestly before your customers, other independent sales representatives, and Lifestyle Rezolutions Company employees, and to uphold the Company’s customer service standards; and
• (iii) to make no claims, statements, advertisement, or actions that (a) wrongly represents Lifestyle Rezolutions Company; (b) impairs its name or representation; or (c) provides false or inaccurate information; or (d) tarnishes its copyrights, trademarks, or products; and
• (iv) to maintain the visibility and integrity of copyrights and trademarks registered to Lifestyle Rezolutions Company that exist on its products and advertisements; and
• (v) to inform customers of (a) any choking hazards contained within Lifestyle Products; (b) their responsibility to consult a doctor before beginning any program or act on advice contained within Lifestyle Products; and
• (vi) to respect the integrity of any and all products from Lifestyle Rezolutions Company, completing sales without alteration, misrepresentation or tampering of the product.

You acknowledge and agree that as an independent sales representative, you:

• (i) conduct business independently from that of Lifestyle Rezolutions Company and are not under any labour contract, nor are you considered an agent, employee or paid representative of Lifestyle Rezolutions Company in any way; and
• (ii) are responsible for all appropriate legal and regulatory business practices, direct selling laws and practices, consumer protection and privacy laws, online and Internet agreements, and reporting obligations such as taxation.

Prohibited Sale

You agree to sell strictly to the end consumer unless given direct written consent otherwise, and acknowledge and agree that sale of Lifestyle Products is prohibited (a) within the following areas: flea markets, garage / yard sales; and (b) to parties such as: wholesalers, redistributors, retailers, or any other business entity either directly or through use of a third party.

Lifestyle Sales Team: Credit Cards

You authorize Lifestyle Rezolutions Company to charge a 3.0% administration fee when making payment for Lifestyle Sales Team product orders with a credit card. You acknowledge and accept any processing delay that occurs as a result of credit card payments.

Termination of Account

Any suspicious activity or report may result in the evaluation of your account. You agree that Lifestyle Rezolutions Company may terminate your account and information without reason or notification. Your registration will be considered inactive after a period of one year without placing any orders, and you agree to place an order at the minimum order value of our first-time buyers if you wish to recommence sales.

Violation of Conduct

Violation of any of these terms and conditions will be pursued to the fullest extent permitted by law and result in the termination of your account, information and status as a Lifestyle Sales Team Member.

Notification of Changes

Lifestyle Rezolutions Company reserves the right, at our complete discretion, to change these terms and conditions at any time by posting revised terms on the site. It is your responsibility to checked periodically for any changes Lifestyle Rezolutions Company may make to these terms and conditions. Your continued use of this site following the posting of changes to these terms or other policies means you accept the changes. You are therefore advised to re-read this statement on a regular basis. These terms and conditions form part of the Agreement between the Client and ourselves. Your accessing of this website and/or undertaking of a booking or Agreement indicates your understanding, agreement to and acceptance, of the Disclaimer Notice and the full Terms and Conditions contained herein. Your statutory Consumer Rights are unaffected.
